These terms and conditions (“Terms”) govern the use of our site and services. If you do not agree with any of these terms, do not access or otherwise use www.rolemodelmentors.com or services. In the event we develop an application, it is subject to the same terms as our site and our services. Your use of our website or services (“Services”) shall be deemed to be your agreement to abide by each of the terms set forth below. Role Model Mentors may make changes to our site, content, Terms, services or applications at any time. You acknowledge and agree that, by accessing or using our Services, including but not limited to submitting forms or information or downloading or posting any content from or on the website, social media pages, applications, or other places where we have a presence, you are indicating that you have read, understand and agree to be bound by these Terms.
These Terms contain numerous legally binding provisions, a limitation on bringing class actions and a time limit on submitting claims that affect your rights. Please read these Terms carefully.

You must be age 14 or older to use our Services. You represent, acknowledge and agree that you are: (i) a mentor or prospective mentor (Hereafter both “Mentor”) that is at least age 14, currently enrolled in school or a recent H.S. graduate, and that you have your parent’s or legal guardian’s permission to use the Services or (ii) a parent or legal guardian of a Mentor, (iii) the parent or legal guardian of a student for whom you use the Services or are considering using the services (Hereafter “Client”), (iv) a party interested in our Services in general, but NOT a party using our website specifically to compete with Role Model Mentors in any fashion, access information about our Mentors or Clients outside of using our Services, or to interfere with or otherwise disrupt our business or the privacy or other rights of our Mentors or Clients.

These Terms are a binding contract between you and Role Model Mentors (“Role Model Mentors,” “RMM,” “we” and “us”). If you have any questions, comments, or concerns regarding these terms or the Services, please contact us at admin@rolemodelmentors.com.

If you are a user that is at least 14 years of age and currently enrolled in school, and you have your parent’s or legal guardian’s permission to use the Services, you may use our Site, App or Services to offer your services as a Mentor. Clients may use our Site, App or Services to request a Mentor to provide mentoring services for the Client’s own child(ren) (“Mentees”). On the Site or App, as a registered Mentor, you may submit information about yourself in order for us to promote your Mentoring services to Clients, and/or for you to promote yourself as a Mentor. Once Mentors and Clients are registered users of Role Model Mentors, Mentors and Clients may be able to schedule mentoring session(s) either through the Site or an App, or in manners most convenient for both parties such as phone calls, texts, or use of third party messaging services. Under no circumstances should contact between Mentors and Clients involve making arrangements for mentoring services to be provided directly between the parties without abiding by the terms and payment processes for such services taking place through Role Model Mentors. Role Model Mentors may restrict and impose additional limits on communications between users at any time and for any reason, including requiring the use of our Site or App. For the purpose of clarity, “mentoring services” refers to tutoring, sports training, music lessons, hobby interactions, playing of games, advising or consulting, skill development, studying, companionship, or similar activities in exchange for remuneration of any kind, whether in cash, cash equivalents, or non-cash compensation.

Clients may only use our Services to find Mentors for their own children (or children for whom they are the legal guardian). Mentors may only use our Services to sign themselves up and engage in mentoring as an independent contractor through our platform(s). There may also be opportunities to promote our Services to others including recommending us to others to become Mentors or Clients of ours, or recommending others to us for the same purpose.
Mentors are not employees or agents of Role Model Mentors. Role Model Mentors acts as an intermediary to facilitate the matching of Mentors and Clients, as well as scheduling, fulfillment and billing of mentoring services. In addition, we also handle remuneration to Mentors for their mentoring time. We may from time to time offer other services as well, which may include, but not be limited to, training, planning, consulting, customer service activities, workshop development, webcast and video production, making recommendations, or sharing news and information.

We, at our sole discretion, choose the fees for mentoring services to Clients including how and when they are charged. We may charge different amounts based on geography, competitive pricing, Mentor talents or skills, driving distances, number of Mentees being mentored, time of year, day of week, or any other variable that we choose to base pricing on, as permitted by law. We also, at our sole discretion, choose the amount and manner in which Mentor fees are paid to Mentors. Both Client fees and Mentor fees may be changed at any time, for any reason.

At all times Mentors and Clients must abide by our terms and conditions as well as our Privacy Policy, located on our Site.

Right to Change Terms
We may change these Terms at any time. If we change any of these Terms, we will post the updated terms. We may, at our discretion, also send an email notice of the change to these Terms. Significant changes will be effective thirty (30) days after we have posted such changes. Other changes will be effective immediately upon posting updated terms. Your use of the Services after changes have been posted acknowledges your agreement to the new Terms. As such, you should check the Terms on the Services periodically for updates and changes.

Privacy Policy
Our collection and use of data and information, and activities of Clients, Mentors and other users of our Service are governed by the terms of our Privacy Policy, located on our Site https://www.rolemodelmentors.com.

Account Registration and Security
We currently do not require registration to use our Services, however, we may in the future. If we require you to sign up for an account, you may be required to verify your account. You can only create one account with us, and may not transfer your account to anyone else without our prior written permission. You are responsible for maintaining the confidentiality of passwords and account information for the account, and you are fully responsible for all activities that occur under your account. You agree to immediately notify Role Model Mentors of any unauthorized use of accounts or any other breach of security.

Legal Use of Services
Role Model Mentors only authorizes you to use our Services for your own personal use in compliance with all applicable laws. You may not resell or make any commercial use of our Site, App or Services, or any Content. “Content” means any information or materials displayed anywhere RMM makes such displays, such as text, graphics, data, articles, photos, images, as well as any content created on the basis of submissions you or others have provided. For the purpose of clarity, this includes not only our Site, but all social media, emails, text messages, third party messaging services, advertising, promotions, and the like.

As a Client, you will be charged monthly based on the total number of hours you sign up for as well as a one-time upfront matching fee assessed at the point of enrollment. Monthly fees start upon successful matching with a Mentor. Role Model Mentors will pay the Mentor for each session they provide, based upon an agreed hourly rate. Mentors receive different rates of pay based on a variety of factors. Some Mentors volunteer their time to receive community service. RMM uses volunteered hours to fund scholarships to provide low or no cost mentoring to the less fortunate. Mentor compensation is confidential between Mentors and RMM.

It is the responsibility of the client to schedule mentoring sessions to fulfill monthly hours. Sessions may vary in length or frequency between Mentors and Clients. Sessions unused during a month can be carried over to the following month but are considered used and therefore fulfilled if not completed by the conclusion of the second month.

You may cancel your service at any time, however no refunds are given for a partial month of service for month-to-month plans. You must cancel prior to the start of a month in order to avoid being charged for that month.

For annual plans, if you cancel, you will not be renewed for the subsequent year, however you will remain liable for remaining payments if you are on the monthly payment plan, through the end of your original contract. If you are on the annual plan with prepay, you will have no further commitment to Role Model Mentors, however you will not receive a refund for your annual payment.

All mentoring programs are continuity programs, and will automatically renew based on your plan choice. Month-to-month plans renew each month on the anniversary of your match date. All annual plans renew on the one year anniversary of your match date.

You must reschedule sessions you cannot make with reasonable advance notice. If you cancel without reasonable notice, or are more than 15 minutes late for your scheduled session, it will be considered a full session with regards to monthly hour utilization. If no parent, guardian or responsible adult is present for the session, the Mentor will not be permitted to provide mentoring services, and the scheduled time will be counted as fulfilled.

If payment is not received or cannot be charged to your credit card account for any reason, we reserve the right to either suspend or terminate your access to our Services while we seek alternative payment from you.

Role Model Mentors uses a third party, secure transaction processing platform (authorize.net) to process credit card payments. By using our Services with your credit card, you acknowledge and agree to the terms of the Authorize.net platform, found here: authorize.net/company/terms. We are not responsible for any issues caused by using your credit card for payment, including but not limited to fraud, bank fees and charges, interest rate changes, credit rating changes, or cancellation of credit.

If for any reason you are not happy with your mentor during the first 30 days, we will provide a new mentor, at no additional cost to you. Upon a second match taking place, if you are still unhappy with our service, we will refund your monthly payment as well as any match fees.

By using the Services, you consent to receiving electronic communications from Role Model Mentors. These electronic communications may include notices about applicable fees and charges, transactional information and other information concerning or related to payments for our Services. We may also contact you regarding customer service, recommendations or reviews, recommending others to us as potential Clients or Mentors, reminding you or informing you of Terms, policies, or procedures, recommending new products or services to you including upgrading your monthly plan, following up on required or suggested submissions, or any other reasonable communication related to our Services. By providing your phone number, email, social or chat “handle,” or other means of communicating with you, you are giving us permission to do so. We may be unable to avoid or stop some or all of our communications to you, even if you ask us to. If you request that we cease communicating with you, it may be necessary to terminate your account.

Your Submissions
You acknowledge and agree that you are solely responsible for all submissions that you make to us. You also represent and warrant that you are the original creator and writer of all submissions or you have all rights, licenses, consents and releases that are necessary to grant to Role Model Mentors the unrestricted use or such submissions, as contemplated under these Terms. Submissions are not private or confidential and may be read, curated, disseminated, and used by us, or by others. You waive any and all rights of privacy, or any other rights of a similar nature in connection with the use of the submissions. You understand and agree that even if you cancel your service, your submissions may remain in use and viewable. Further clarity is available in our Privacy Policy on our Site.

Protection of Content
Our content is protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any content you access through our Services, and agree you won’t use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, (i) without the prior consent of the owner of that Content or (ii) in a way that violates anyone else’s rights.

Role Model Mentors owns all rights, title and interest in and to all of its patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how and any other intellectual property and/or proprietary rights in addition to content. You will not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in these Terms), creative derivative works based on, or otherwise exploit any of our content for any reason without our express permission. We provide permission, implicitly, for you to share content we create in social media or on our website for the purpose of promoting our service and/or your participation in it to others.

Additional and Specific Mentor Terms and Conditions
In addition to the obligations applicable to all users, if you sign up as a Mentor you also agree to the follow ing terms:

You acknowledge that you are permitted to legally perform services and work in the United States, and will comply with all federal, state and local labor and employment laws;

You will act professionally at all times and treat Mentees, Clients, fellow Mentors and our staff with respect and courtesy;

You will ensure that any information you provide, including information in your Mentor signup form, Mentor Profile Form, answers to questions in surveys, questionnaires or interviews, session notes and session logs is truthful and accurate

You have never been (i) the subject of a complaint, restraining order or any other legal action involving, arrested for, charged with, or convicted of any felony, any criminal offense involving violence, abuse, neglect, fraud or larceny, or any offense that involves endangering the safety of others, dishonesty, negligence or drugs, (ii) registered, or currently required to register, as a sex offender with any government entity; or (iii) been suspended or expelled from school for your behavior, or received detention within the last year or more than once during High School

You will not use the Services for any business other than for providing mentoring services to clients we match you with, through our platform

You will keep confidential any information that you learn or acquire from a Client or Mentee that would be reasonably expected to be confidential

You will endeavor to deliver the contracted hours your Client has signed up for each month, and be responsive to their communications with you

You will never provide transportation for Mentees via motorized or nonmotorized methods at any point in connection with mentoring sessions, regardless if this is requested by parents or guardians;

You will not enter any agreed upon mentoring session location without the presence of the student’s parent, legal guardian or a responsible adult
If you are under the age of 18, but are qualified to be a Mentor, you will obtain parental or legal guardian permission as and when needed, and before registering to be a Mentor

You will inform the Mentee’s parent of any concerns you have that involve Mentee behavior or potential behavior that is dangerous to the Mentee or others, including yourself. If there is a danger in the house to the Mentee or yourself from an adult, you will inform your parent(s) and us immediately. In the event of imminent danger you should leave the house and call 911 if justified.

If you are in a jurisdiction where any form of instructing requires a license, credential, certification or other form of governmental or third party license, consent, authorization or permission, you shall not provide such instruction as a Mentor until such license, consent, authorization or permission has been obtained.
You agree to Terms related to using your image and your information, providing us unrestricted use of any and all content you or your Client or Mentee provide, for any legitimate purpose related to our business, including marketing and promotion, without any further rights, remuneration or permission required
You agree to allow us to contact you using any contact information you have provided us, for any legitimate business purpose

You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the RMM as you are an independent contractor and not an employee of RMM.

Additional and Specific Client Terms and Conditions
You agree that a parent, guardian or other responsible adult you designate will be present for the entire duration of all sessions you schedule

You agree that it is your responsibility to screen any Mentor you are matched with by us, or choose yourself, including meeting them and observing them during the initial session, as well as subsequent sessions. You understand that we make no expressed or implied warranty, guarantee or other assurance as to the competency, character, maturity, viability of your Mentor.

You agree not to ask your Mentor to do anything that would violate these Terms of service, including providing transportation for your child

You agree to our payment Terms and credit card processing Terms, and agree to pay us all amounts owed based on using our Service.

You will not seek to make arrangements to hire your Mentor outside of our Service for mentoring or related services

You agree to allow us to contact you using any contact information you have provided us, for any legitimate business purpose

You understand that it is your responsibility to schedule and arrange sessions with your Mentor(s) in order to fulfill your monthly hours allotment.

User Conduct
You may not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of Site, App or Services, or in any way reproduce or circumvent the navigational structure or presentation of our Site, App or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available by Us. Role Model Mentors reserves the right to bar any such activity.

Role Model Mentors has the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Role Model Mentors may access, preserve and disclose any of your information if we are required to do so by law, or if we believe in good faith that it is reasonably necessary to (i) respond to claims asserted against Role Model Mentors or to comply with legal process (for example, subpoenas or warrants), (ii) enforce or administer our agreements with users, such as these Terms, (iii) for fraud prevention, risk assessment, investigation, customer support, product development and debugging purposes, or (iv) protect the rights, property or safety of Role Model Mentors, its users, or members of the public.

Warranty Disclaimer
Role Model Mentors does not make any representations or warranties concerning any content contained in or accessed through our Service, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through our Service. Submissions are the product of other users of the Services. References to a Mentor being “verified” or “vetted” (or similar language) only indicate that the Mentor has completed an application process, and does not represent anything else. Any such description is not an endorsement, certification or guarantee by Role Model Mentors about any Mentor, including the Mentor’s identity or whether the Mentor is trustworthy, qualified, intelligent, accurate, smart or suitable. Instead, any such description is intended to be useful information for you to evaluate when you make your own decisions about the suitability a Mentor that you interact with through RMM. RMM does not guarantee the safety or reliability of any user, Client, Mentee or Mentor. Role Model Mentors is not responsible for the conduct, advice, opinion, or Submissions, whether online or offline, of any Client, parent, legal guardian, Student or Mentor or other user of the Services. Parents and legal guardians are responsible for monitoring their children’s use of the Services and all activities of their children, whether online or offline. Role Model Mentors makes no guarantees, representations or warranties that any Mentoring session will improve a Mentee’s academic success, grades, GPA, test score, class rank or the like, skill or acumen in any sport or musical instrument, improve their chances for admission at any school, college or university of any kind or level, or help them with sociological or maturity challenges. Any Mentoring sessions purchased or offered through the Service are provided “AS IS” and without any warranty of any kind from RMM. You assume all risks of using our Services, and meeting any individual Mentee, parent, legal guardian, responsible or Mentor in person. You must take all appropriate precautions when interacting with others through RMM.

Limitation of Liability
To the fullest extent allowed by applicable law, under no circumstances and under no legal theory (including, without limitation, tort, contract, strict liability, or otherwise) shall role model mentors be liable to you or to any other person for (a) any indirect, special, incidental, or consequential damages of any kind, including damages for lost profits, loss of goodwill, work stoppage, accuracy of results, or computer failure or malfunction, or (b) any amount, in the aggregate, in excess of the amounts paid by you to Role Model Mentors or owed to your by Role Model Mentors in connection with the services in the twelve (12) month period preceding this applicable claim, or (iii) any matter beyond our reasonable control. Some states do not allow the exclusion or limitation of certain damages, so the above limitation and exclusions may not apply to you.

You agree to indemnify and hold Role Model Mentors, its affiliates, officers, agents, employees, and partners harmless for and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account and including arising out of your Submissions), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), if you have an account, we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Informal Efforts to Resolve Dispute
If a dispute arises between you and Role Model Mentors, You should first attempt to resolve it by sending the details of your complaint, including your contact information for a response, to admin@rolemodelmentors.com. We will attempt in good faith to resolve all Claims submitted this way within fifteen (15) days of receipt.

By using our services you are consenting to resolve any claim you may have against us arising from or relating to our terms, conditions, privacy policy, and any dealings with our company or service via binding arbitration, and not in a court of law. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with their Consumer Arbitration Rules and Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) in effect at the time of your consent.

If any provision of these Terms are found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Role Model Mentors agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Role Model Mentors, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms, and that all modifications to these Terms must be in a writing signed by both parties (except as otherwise provided herein). No agency, partnership, joint venture, or employment is created as a result of these Terms. Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us. You may not assign, delegate or transfer these Terms or your rights or obligations hereunder in any way (by operation of law or otherwise) without Role Model Mentors’ prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.
